Corporate Conflict Prevention + Mediation / ADR Advisory
When professional relationships unravel, people naturally want ease and stability returned to their lives and although at times litigation is necessary, many times it might not be.
Although with some proper planning most times business disputes are preventable, unfortunately the legal system — with dueling attorneys trying to persuade a judge — is designed for the opposite: financial and emotional war. Ryan Nori is a veteran business consultant with unique negotiation abilities and financial / legal expertise. He brings all stakeholders together and helps them make difficult corporate decisions, together.
We provide differentiated strategic and tactical advice as well as unparalleled execution to businesses and entrepreneurs involved with both public and private companies across a broad range of industry sectors and geographies.
We help our clients identify and pursue strategic priorities, devise strategies to enhance shareholder value, and develop new ideas and deeper perspective to achieve their goals. We advise boards and management teams on how to successfully develop relationships with and communicate their strategies and M&A transactions to their shareholders or prospective buyer/seller.
In advising companies on a sale, acquisition or merger, we evaluate potential targets and evaluate / propose financial and strategic alternatives. We provide boards and management teams with independent judgment and deep expertise as they navigate their most important transactions and strategic decisions. We also advise as to the timing, structure, and financing of a proposed transaction as well as assist in negotiating and closing the deal.
Our practice is driven by, and exemplifies our overall commitment to independence, discretion, objectivity, and the delivery of unconflicted advice. We have the resources to put together a team comprised of some of the leading and most experienced advisors on Wall Street, each with a long history of providing impartial advice and assisting clients meet fiduciary duties and obligations in significant situations.
We can provide integrated advice in connection with the structuring of private and public transactions – including business sales, purchases, mergers, spin-offs, joint ventures, and capital markets offerings – intended to optimize the critical objectives of the deal. Furthermore, we leverage our extensive experience and insights in helping clients prepare for, avoid, and, if required, defend against activist investors and hostile takeover attempts. We work closely with our clients and other advisors to deliver the optimal structuring solutions. Our success begins and ends with an unrelenting commitment to delivering world-class client service.
Whether they are dueling business entities or individuals involved in a joint venture, clients should first try to avoid the pain and cost of litigation via tactical negotiations, ideally concluding the process with enduring legal agreements. But perhaps most important, clients move on in their lives, replacing animus with respect, and often outright warmth. I encourage you to consider resolving your business challenges with tactical negotiations. It’s a decision that will pay benefits for the rest of your life.
When we look carefully at longstanding conflict, we see that both sides are engaged in similar internal processes. First, they are disagreeing about something specific—money, obligations, the ability to control a board of directors, something important to each. Still, they would easily come to resolution if not for the next problem. Second, and most importantly, injury has taken place. They each see the other as having attacked them in some way. The disagreement has become personal. Once trust has deteriorated, they are too suspicious to work closely to generate mutually satisfying alternatives. Their negative views are then reinforced by their inability to solve the problem. And so they fight. And so they hire lawyers and go to court, spend great sums and intensify the distrust.
There is however a way out. Both parties’ impressions of the problem itself will radically change when their experience is realized by the other. My intent is to establish connection between those in dispute. Once achieved, although it does not itself resolve the issues, it lays the foundation for productive problem solving. When people can begin again to see the humanity in each other, solutions naturally emerge. The benefits go well beyond preserving respect and warmth in a relationship. First, the solutions found normally endure because they are designed by the parties themselves, with deep understanding of their own needs and the needs of the other. Second, the expense is almost always a small fraction of the cost of litigation. Third, and perhaps most important, the process frees people from the devastating consequences of anger and resentment. As we all know, the greatest cost to conflict is that we become consumed. Here we can once again enjoy the beauty that awaits us in life.
Pre/Post Merger Integration
ADR / Prevention
After years of working at some of the largest global investment banks and advising multinational entities, I was drawn to tactical consulting and coaching as an alternative path for corporate development / dispute resolution and as a way to contribute to the world at large.
Ryan Nori, Esq.
Through success and failure in dispute resolution, I have learned a great deal. What I couldn’t foresee – and what I still don’t fully understand — is the sheer creative magic often produced by this process. When people caught in conflict are brought to the point where they realize their own needs and the other person’s needs — where they hold both sets of needs in their mind simultaneously, without anger or judgment — their minds solve the problems which seemed intractably multi-dimensional and complex. What I have also learned — and this perhaps should have been obvious to me — is that these negotiations are not without their difficulties, and one of the greatest services I can provide is to share with clients when, based on my experience, I believe our dispute resolution negotiations may be in trouble and litigation necessary. This consciousness and unrivaled flexibility has, time and time again, proved to be highly advantegous for my clients — and naturally perilous for our adversaries.
Through years of consulting, my learnings have been too great to catalog, my belief in negotiation as a tool toward resolution has matured and deepened, and my hope that I can help people avoid tragedy in their professional and personal lives has proven for many a reality. I step into my client's shoes and show up to each client matter as myself, without formality or pretense, and I attempt to offer all the tools and presence available to me, tirelessly.
Our model started with the conviction that the standard client billing system as practiced is dysfunctional and has become mired in cynicism. The principal evil is the business of charging for services on the basis of the time spent doing it. We will charge you a fixed fee covering your work, without carve-outs or exclusions, calculated on a value-added basis and designed so as to smooth out the peaks and troughs and give you budgeting certainty.
Our packaged fees provide deep discounts to our standard $1,875.00 hourly rate because time costing makes no sense – there is no connection whatever between the fees charged and the value of the work done. It rewards inefficiency and tempts consultants to behave badly. From the client's perspective, it is uncontrollable and does nothing more efficiently than generate unpleasant surprises at the end of the relationship.
Consultant costs are a business risk like any other. Our business is management of that risk. We give our clients certainty as to their spending and we approach the question of pricing with the client's specific needs and constraints in mind. We believe that our clients would like to pay us fairly for what we do and that a fair sharing of risk and reward is conducive to a strong long-term relationship.
As part of all of our packages, we absorb all routine costs that consultants traditionally charge including emails, faxing, telephone calls, secretarial overtime, tax, and the like. We believe in total transparency – our clients know exactly what services they will receive and the exact costs, with no surprises.
We are proud of the fact that clients have consistently rated us as highly responsive thanks to a formal client feedback program, which fosters productive personal relationships, face-to-face meetings and open communications.
Finally, we are sincerely passionate about what we do and truly enjoy our work. We work with clients we enjoy, hang out with colleagues we like and go home each day with a sense of genuine satisfaction and reward – sometimes while it's still even light outside! If that sounds exciting to you, we would love to work with you.
